Role Description
We are seeking a Corporate Secretary & Business Administration Associate with 5–7 years of experience working within a Corporate Service Provider, fiduciary services firm, or law firm corporate practice in the UAE. This role requires proven, hands‑on company secretarial (CoSec) experience, including entity formation, statutory management, board support, resolutions drafting, and ongoing regulatory maintenance across ADGM, DIFC, DMCC, and Mainland UAE.
The role supports both client‑facing service delivery and internal governance for Pnyx Hill Group entities. You will manage entity portfolios end‑to‑end, interface with regulators and banks, maintain statutory records, and ensure compliance with governance requirements across multiple jurisdictions. The position requires ownership, accuracy, reliability, and strong stakeholder communication skills.
This role reports directly to the Group Head of Corporate Affairs and can be based in Dubai or Abu Dhabi, depending on the candidate’s profile and operational fit.
Key Responsibilities
Corporate Governance & CoSec Administration for Regulated Entities
- Lead and manage all corporate secretarial and statutory governance matters for regulated and non‑regulated entities across ADGM, DIFC, DMCC, and UAE Mainland, including incorporations, licensing, regulatory amendments, renewals, and ongoing compliance with registrar and regulatory authorities.
- Maintain and control all statutory registers, constitutional documents, regulatory filings, and corporate records, ensuring continuous compliance with applicable company law, regulatory rulebooks, and internal governance frameworks.
- Draft, review, and process board and shareholder resolutions, powers of attorney, share issuances and transfers, capitalisation changes, and director/officer appointments and removals, ensuring legal validity, auditability, and regulatory defensibility.
- Act as governance coordinator for boards and shareholders: prepare board packs, agendas, formal notices, minutes, and action trackers; ensure proper decision‑making processes, quorum, voting, and documentation standards in line with regulatory and best‑practice requirements.
Regulatory & Portal Management
- Independently handle submissions and filings using ADGM, DIFC, DMCC, FTA, MOFA, and other free‑zone / government portals.
- Liaise professionally with regulators, registered agents, auditors, law firms, and banking institutions.
Client and Group Support
- Serve as a trusted point of contact for corporate services clients and internal stakeholders.
- Track compliance timelines and ensure proactive calendar management for renewals and regulatory milestones.
- Support internal finance with basic bookkeeping and reconciliations (invoices, payments, fee schedules).
Process & Governance System Improvement
- Contribute to creating and refining governance workflows, templates, SOPs, and internal controls.
- Support governance structuring as the Group expands across EU, MENA, and Central Asia.
Professional Experience & Core Competencies
- Bachelor’s degree in Business, Law, Finance, Accounting, or related field (required).
- 5–7 years Corporate Services / CoSec experience within a CSP or corporate governance environment.
- Essential: Hands‑on CoSec administration experience including drafting resolutions and maintaining corporate records for regulated entities.
- Essential: Experience across ADGM and/or DIFC; additional experience in DMCC / Mainland is preferred.
- Proficiency with relevant regulatory portals (ADGM, DIFC, DMCC, FTA, MOFA, etc.).
- Strong understanding of UAE corporate structures, entity types, and regulatory frameworks.
- Strong English communication skills (written and verbal).
- High level of accuracy, professionalism, organization, and confidentiality.
- Ability to work independently and manage multiple entity portfolios simultaneously.
Preferred
- Experience supporting clients in financial services, fintech, investment holding, asset management, or digital assets.
- Familiarity with bank account opening processes and compliance documentation.
- ICSA / Governance qualification (completed or in progress) is an advantage.
