Job Purpose

The Senior Manager, Corporate Development plays a critical role in accelerating Certis’ transformation into a technology‑driven, future‑ready market leader. As part of a high‑performing, agile Corporate Development team, the role is responsible for shaping and executing the Group’s inorganic growth strategy — from strategic planning and deal origination to transaction execution and post‑deal integration support.

This role requires a forward‑looking strategist with strong financial acumen, the ability to translate insight into foresight, and the execution discipline to deliver high‑impact outcomes across mergers and acquisitions, strategic investments, and cross‑border partnerships.

What You’ll Do

Strategic planning & deal origination

  • Formulate and execute the Group’s inorganic growth strategies aligned with long‑term corporate objectives.

  • Identify, assess, and prioritise M&A and partnership opportunities

  • Conduct comprehensive market, industry, and competitive analyses to anticipate disruption and uncover high‑value strategic opportunities.

  • Build and maintain relationships with advisory firms, industry partners, investors, and financial institutions to support deal flow and early‑stage screening.

Transaction execution & deal management

  • Lead end‑to‑end M&A and strategic investment processes, including target screening, due diligence, valuation, structuring, negotiation, and closing.

  • Analyse operating models, financial projections, market dynamics, and commercial assumptions to ensure strategic and financial alignment.

  • Manage cross‑functional due diligence across financial, legal, commercial, operational, and technology domains.

  • Conduct and review financial analyses including DCF, NPV, IRR, sensitivity analysis, benchmarking, and comparable valuation studies.

  • Prepare investment committee papers, board materials, and executive‑level presentations with clear strategic rationale, financial impact analysis, and risk assessments.

  • Coordinate with internal and external advisors to ensure accurate, timely, and compliant deal execution.

  • Translate complex financial and strategic information into compelling narratives and decision‑ready materials for senior leadership and governance committees.

Stakeholder management

  • Work collaboratively with other departments to ensure alignment and seamless execution.

  • Communicate deal rationale, risks, opportunities, and organisational impact to senior management and governance bodies.

  • Support post‑transaction integration planning and execution where required.

Others

  • Scan for emerging trends, disruption vectors, and competitive shifts, recommending strategic responses to position Certis ahead of the curve.

  • Lead or support strategic corporate initiatives as assigned by Group leadership.

What You’ll Bring

  • Bachelor’s degree in Finance, Business, Economics, Accounting, or related fields.

  • 7–10 years of professional experience in corporate development, investment banking, or related disciplines.

  • Proven track record in M&A, strategic investments, business valuation, and financial modelling.

  • Strong analytical and commercial judgment, with deep experience in due diligence and business case development.

  • Excellent stakeholder management, communication, and presentation skills.

  • Strong strategic thinking, problem‑solving ability, and executive‑level advisory capabilities.

  • Highly organised, meticulous, and capable of managing concurrent workstreams in a fast‑paced environment.

  • Resilient, adaptable, and demonstrates a strong growth mindset.

  • Proficient in Microsoft Excel and PowerPoint.
