Be a part of the Corporate Secretarial team who work closely with and assist the Head of Department (“HOD”) to independently provide Corporate Secretarial services to clients. The incumbent will also contribute to the development and implementation of the Corporate Secretarial strategies as well as management of the Corporate Secretarial team, facilitation and activities with the Company.
[Your Role & Responsibilities]
- Handle full spectrum of corporate secretarial duties including but not limited to acting as named secretary for a portfolio of clients, company incorporations, preparation and review of directors’/ shareholders’ resolutions, liaising with Registered Agent for incorporation of offshore companies, opening of bank accounts, etc.
- Onboard new clients in accordance with policies and procedures
- Ensure compliance with statutory and regulatory requirements including adhering statutory filing deadlines
- Organise and co-ordinate board meetings and preparation of board papers for clients
- Attend board meeting of clients, writing of minutes, etc
- Strong attention to detail with the ability to work efficiently and accurately as well as the ability to follow up on pending items in a timely manner
- Liaise with cross-department colleagues and external parties such as other corporate secretarial service providers, accountants, auditors, notary offices, bankers, etc
- Lead and manage a team of corporate secretarial executives / assistants
- Involve in staff recruitment, mentoring and development activities
- Guide and train team members to enable them to carry out their roles effectively and efficiently
- To identify and highlight potential risks to HOD and recommend/take appropriate actions
- Any other ad-hoc duties assigned by the HOD
[What We Are Looking For]
[Education]
- ICSA qualified Chartered Secretary or equivalent related qualification.
[Skills & Experience]
- At least 5 years of relevant Corporate Secretarial working experience. Prior work experience in a corporate service provider and understanding of Trusts will be advantageous
- Experience in public unlisted entities and non-profit organisations will be a plus
- Good knowledge of relevant provisions of the Singapore Companies Act and Practices, AML/CFT requirements of registered filing agents, ACRA Bizfile and e-stamping
- Proficient in MS Office Skills and familiar with Corporate Secretarial software such as ViewPoint is an advantage
- Possess excellent communication, interpersonal and time management skills
- Ability to work effectively in a team and build team rapport with a willingness in sharing knowledge
- Ability to work independently, multi-tasking and meticulous
