A corporate group in Italy is seeking a Legal Specialist to support corporate governance and compliance for its group companies. The candidate will manage filings, prepare regulatory documentation, and assist with the direction of foreign subsidiaries. A University degree in Law and 2-5 years of relevant experience are required, along with excellent English proficiency. This role provides a dynamic environment to engage with corporate affairs at a renowned company.

Responsibilities
  • Support the preparation, convening and minutes of the meetings of the corporate bodies (Board of Directors, Trade Commissions, executive committees, shareholders’ meetings) of the Italian group companies.
  • Manage corporate affairs of Italian group companies: share registers, authorisations, corporate records, filings with the Companies Register.
  • Assist in the direction and coordination of the group’s foreign subsidiaries (receive and analyse periodic reports, maintain the group repository, coordinate with local counsel).
  • Prepare periodic reporting and regulatory documentation required by listed issuers (price‑sensitive communications, corporate governance reports, remuneration reports, financial and non‑financial reporting).
  • Support the Legal Affairs Manager on Consob, Borsa Italiana and market‑abuse (MAR) obligations, including coordination with Investor Relations (IGR) and upkeep of the required registers (internal deadlines, privileged information monitoring).
  • Handle related compliance for significant participations and shareholder agreements.
Qualifications
  • University degree in Law.
  • 2–5 years of experience drafting corporate documentation (e.g. statutes, board meeting minutes, committee rules, convening notices, assembly agenda).
  • 2–5 years of experience in managing filings and procedures with the Companies Register (depositions, registrations, updates).
  • Preferred: experience with primary and secondary regulatory requirements for listed companies on the Borsa Italiana market.
  • Excellent command of English.
