Equity Incentives Lawyer | Global Insurance Group | London (Hybrid)

We are working with a leading global insurance group undergoing significant growth and strategic transformation. As part of this expansion, our client is seeking a senior Equity Incentives Lawyer to join their high-performing Corporate Legal team. This newly created position will play a central role in shaping the legal framework for global employee equity participation and supporting the business through a period of dynamic change.

The Opportunity

Reporting into the Group Head of Corporate Legal, this role will lead on all legal matters relating to equity incentives—spanning design, implementation, governance, and international harmonisation of share schemes. The position will play a vital part in preparing the organisation for potential future listing activity, while helping to create a consistent, compliant, and scalable equity framework across multiple jurisdictions.

This is a rare opportunity for a commercially minded lawyer to work at the intersection of law, strategy, and reward within a global, employee-owned business. The role will be based in London with flexible hybrid working.

What You’ll Be Doing

  • Advising on and leading the design, drafting, and rollout of a variety of equity incentive arrangements, including RSUs, PSUs, profit interests, and bespoke plans.
  • Supporting equity structuring and legal readiness in anticipation of potential listing activity (e.g. IPO).
  • Advising on leaver provisions and executive equity matters, including high-value packages.
  • Developing a consistent global approach to employee equity plans, including training internal stakeholders and guiding on governance.
  • Contributing to the development of an internal employee share market (buy/sell mechanisms).
  • Collaborating with HR, finance, and external counsel to ensure compliance across jurisdictions, particularly in the UK, US, and EU.
  • Providing legal support on equity elements of M&A and strategic transactions.

What We’re Looking For

  • Qualified solicitor (England & Wales or equivalent) or US-qualified attorney.
  • Minimum 5 years’ post-qualification experience, with significant exposure to equity compensation structures (UK and/or US).
  • Deep understanding of employee incentive plans, especially in the context of international businesses
  • Experience advising on complex remuneration structures, ideally within high-growth or founder-led businesses.
  • Excellent communicator with strong stakeholder skills and commercial awareness.
  • Adaptable, proactive, and solutions-oriented, with a hands-on approach and comfort operating in a fast-moving, agile environment.
