Join our growing national Company Secretarial team, focusing on private businesses in the Southern region. As a Manager, you’ll be supporting the senior management team in delivering the team’s overall growth strategy whilst having direct day to day oversight of junior team members. You will also be expected to draft and deliver work of a transactional nature across a portfolio of SME corporate clients, including (but not limited to) drafting articles of association with complex share class rights, working in collaboration with RSM’s tax teams to implement group rationalisation / reorganisation projects, preparing and submitting stamp duty relief applications to HMRC, and advising on and implementing complex share restructuring transactions.

You’ll make an impact by :
  • Leading the delivery of an all-round premium service and quality end-product to our clients.
  • Overseeing and reviewing the timely and accurate preparation of client deliverables.
  • Consider the profitability of the job and work effectively within agreed budgets.
  • Management oversight of a portfolio of clients, including client care responsibilities, project management, and WIP / billing management.
  • Build strong, trusted relationships with clients and act as a key point of contact.
  • Communicate any problems or contentious issues identified to the senior management team or to the responsible partner, and to identify suggested solutions.
  • Take the lead role on assignments as and when required.
  • Train and develop junior members of the team, assisting them in areas they need support with and offering constructive feedback. The role anticipates line management of junior staff.
  • Liaise with other departments within RSM, especially the wider Finance Function Support teams, Tax teams and Restructuring teams to ensure that agreed deadlines are met and significant issues are resolved in a timely manner.
What we are looking for :
  • CGI qualified with a minimum of 2 years relevant experience ideally gained within a professional services environment.
  • A comprehensive understanding of provisions of the Companies Act 2006 (the Act) and a strong understanding of associated legislation.
  • A strong understanding of articles of association, including the Model Articles and previous Table A provisions, with the ability to draft and review complex transaction documents in line with their provisions and the Act.
