At TeamSystem Spain , the Legal Department acts as a strategic partner to all business areas, supporting the company in key initiatives and high-impact projects. Our work spans corporate transactions, commercial contracting, data protection, compliance , and full legal support to all group entities in Spain.

We also work closely with the international legal team, which allows us to develop a global perspective and actively participate in cross-border and international projects .

We are looking for a Senior Legal Counsel to lead the department and play a key strategic role in the company’s legal operations. The selected candidate will work closely with senior management and act as a trusted advisor across the business.

KEY RESPONSIBILITIES
M&A and Corporate Transactions
  • Drafting NDAs, LOIs and non-binding offers.
  • Coordinating and overseeing due diligence processes.
  • Negotiating SPAs, SHAs and other transactional documents.
  • Supporting the structuring, execution and closing of acquisitions.
Corporate Law
  • Preparing shareholders’ and board meetings.
  • Drafting minutes, resolutions and corporate documentation.
  • Providing ongoing corporate governance support across the group.
Commercial Contracting
  • Drafting, negotiating and reviewing a wide range of commercial agreements, including SaaS / cloud agreements, software licences, NDAs, partnership and reseller agreements, and service contracts.
Cross-Functional Legal Support

Providing day-to-day legal advice to multiple business units, including :

  • Data protection (GDPR).
  • Compliance and regulatory matters.
  • General commercial and operational issues.
International Collaboration
  • Working closely with the global legal team.
  • Supporting contract standardisation, policy alignment and cross-border initiatives.
Internal Business Partnering
  • Acting as a trusted legal advisor to Finance, Sales, HR, Product Development, Marketing , and other internal departments.
REQUIREMENTS
Education
  • Degree in Law.
Experience
  • 5–7 years of legal experience.
  • Highly valued : experience in a top-tier law firm or in-house role within the tech / software sector.
Hard Skills
  • Strong expertise in M&A and corporate law .
  • Advanced negotiation skills in commercial contracting.
  • Valuable : experience in data protection (GDPR) .
Soft Skills
  • Strong organisational skills and ability to manage multiple priorities.
  • Excellent written and verbal communication.
  • Proactive, autonomous and solution-oriented mindset.
  • Detail-oriented with strong business acumen.
  • Ability to work in dynamic and multinational environments.
Languages
  • High level of English (C1 or equivalent).
