Overview

Senior Manager to Director (m/f/d) – Financial SPA & Dispute Advice

Our client – a leading advisory firm in the M&A space – is currently expanding its Financial SPA & Dispute Advice (non-legal) practice.

We are looking for experienced professionals to advise clients on share purchase agreements and post-deal disputes around purchase prices, earn-outs, and working capital.

Responsibilities

• Advise buyers and sellers on SPA clauses (Locked Box, Completion Accounts, pricing mechanisms)
• Lead projects and manage client relationships across the deal lifecycle
• Analyze financial data and develop arguments for negotiations and disputes
• Support clients in post-closing disputes (earn-out, net debt, working capital adjustments)
• Drive business development and help expand the service offering

Your profile

• Degree in Business, Finance, Accounting or similar (CFA, CPA, ACCA a plus)
• 5+ years’ experience in M&A, Transaction Services, Valuation or Dispute Advisory
• Strong knowledge of financial models, SPA mechanisms & contract-related finance topics
• Excellent communication skills, confident with C-level stakeholders
