What You’ll Be Contributing
  • Advise, prepare, draft, review, comment and / or negotiate various commercial contracts and documents related to the Company’s activities in the manufacturing, design and sales of IT equipment, including, supply and service contracts, purchase contracts, terms of sale and NDAs;
  • Provide legal advice to internal stakeholders on contract risk, regulatory compliance, marketing and procurement;
  • With the various stakeholders, participate in developing and implementing various types of legal documents, templates and internal policies in line with the current Company’s business needs and anticipated growth;
  • Assist with corporate transactions such as acquisitions, joint ventures, IP licensing and corporate restructurings;
  • Conduct legal research, interpret laws, and monitor relevant regulatory developments that could affect the company;
  • Mandate and manage external counsel as needed.
Construction Law
  • Advise, prepare, draft, review, comment and / or negotiate contractual documents, and other relevant legal documentation, for US and international construction projects;
  • Participate in the review and negotiation process of various contracts with subcontractors, including standard forms such as CCDC, AIA;
  • Liaise with insurance broker(s) to ensure insurance requirements of contracts are met by the Company and its subcontractors;
  • Mandate and manage external counsel as needed.
What Sets You Apart
  • Bar membership (Canadian province or US state);
  • Experience in Common law is an asset;
  • Experience in construction law is an asset;
  • Minimum of 5–8 years of relevant legal experience;
  • Ability to prioritize, excellent organizational skills, ability to take initiative, find creative solutions and ability to balance legal risk with business priorities;
  • Strong interpersonal skills and ability to communicate legal concepts to non-legal stakeholders;
  • Comfortable operating in a dynamic, fast-paced environment with shifting priorities.
