Summary

Reporting to the VP Legal Affairs, the incumbent participates actively in managing the legal aspects linked to company activities and operations, negotiates, drafts and reviews contracts between the company and its clients, suppliers and other partners and advises managers on risks and legal issues that arise in the normal course of business.

Duties & responsibilities
  • Act as adviser to functional groups by assessing and identifying their needs and proposing adapted solutions that require legal expertise.
  • Draft, review and negotiate contracts for complex projects with clients, suppliers, and subcontractors
  • Intervene in various matters, including disputes, managing the legal aspects linked to company activities and operations.
  • Provide advice on various areas of the law and make recommendations to functional groups, to ensure the company is protected based on its business objectives.
  • Support operational groups in performance of contracts (documenting claims, responses to contractual notifications, etc.).
  • Lead negotiations of strategic agreements (joint ventures, partnerships, etc.).
  • Participate actively in legal aspects related to acquisitions, including the due diligence process and drafting of required contract documents.
  • Provide advice on legal and contractual risks resulting from the contracts, projects and actions of the company and its representatives.
  • Manage external legal counsel.
  • Manage the company’s litigations.
  • Ensure that the company’s contracts, operations, and activities comply with legislation and corporate policies and guidelines.
  • Lead activities related to corporate project approval process.
  • Provide legal advice to Board of directors.
  • Support the development, implementation and application of company procedures and policies.
  • Perform any other related duties required by the duties of the position or requested by the immediate superior.
Requirements
  • Authorized to work in Canada;
  • Able to pass all background checks and security screenings;
  • University degree in law
  • A minimum of five (5) years of relevant experience
  • Experience in Canadian Construction Law is essential
  • Excellent communication, negotiation and drafting skills
  • Very good knowledge of MS Office tools
  • Available to travel (a valid Driver\'s licence and passport are required)
  • Serving Canada and the United States, we must ensure the delivery of our services in the appropriate language, guaranteeing smooth and tailored communication to meet their needs.
  • Level of spoken and written French: Proficient
  • Level of spoken and written English: Proficient
  • Frequency of French usage : Daily

  • Experience negotiating and drafting contracts in a public-private partnership
