In collaboration with the Director of Legal Services, the Legal Counsel plays a central role in protecting and optimizing the commercial interests of the organization. This position involves active participation in drafting, negotiating, reviewing, and managing various contracts and commercial documents in diverse areas such as transportation, real estate maintenance services, franchises, sale of movable goods, securities, service agreements of all kinds, and more. The Legal Counsel also contributes to the continuous improvement of operational efficiency within the scope of their responsibilities.
Responsibilities
- Contract Drafting And Negotiation
- Analyze, draft, and negotiate commercial contracts, including in jurisdictions outside of Quebec.
- Ensure contracts comply with company policies, industry regulations, and legal requirements.
- With the support of AI, conduct comprehensive reviews of contractual documents, having previously identified risks, discrepancies, and opportunities.
- Draft legal correspondence as required for various issues submitted.
- Legal Advice
- Resolve legal issues and advise business units on various matters related to day-to-day operations, in collaboration with their leadership.
- Provide legal opinions that take into account business considerations.
- Interpret laws, regulations, and contracts.
- Operational Efficiency
- Participate in the development and implementation of AI tools to assist in contract review, as well as contract templates and documents aimed at improving operational efficiency.
- Consult with business unit leaders to identify their legal needs and implement training tailored to those needs.
- Monitor recent legal developments and communicate relevant information to company management and affected business units.
- Internal / External Support And Liaison
- Interact with and manage relationships with external lawyers supporting the company.
- Establish and maintain strong relationships with the company’s managers and executives.
- Risk Management And Compliance
- Proactively assess contractual risks and propose solutions.
- Once risks are identified, leverage AI to minimize them during contract review.
- Manage and maintain the contract repository and renewal calendar up to date.
- Propose and implement initiatives aimed at improving organizational efficiency.
- Support and promote continuous process improvement.
Required Qualifications
- Member in good standing of the Quebec Bar for at least 3 years.
- Common Law degree is an asset.
- 3 to 5 years of experience in a similar role within a company, organization, or private practice.
- Expertise in commercial and contract law.
- Ability to analyze and interpret relevant laws and regulations.
- Strong contract negotiation and drafting skills.
- Excellent communication skills in both English and French (spoken and written).
- Strong business acumen.
- Excellent organizational and priority management skills.
- Ability to work at both strategic and tactical levels, and to collaborate with senior management and various business units.
- Results-oriented and detail-focused.
- General knowledge of the distribution and retail industry is an asset.
- Strong interpersonal skills, team spirit, autonomy, and intellectual agility.
