Overview
As Head of Legal you are responsible for leading and managing the legal function of the organization. This includes overseeing legal risk, ensuring regulatory compliance, advising executive leadership on strategic matters, managing litigation, handling corporate governance in coordination with the Head office, managing contracts and documents. You play a key role in safeguarding the organization’s interests and facilitating its commercial objectives within the boundaries of law.
You need to be responsible for managing the entire life cycle of contracts within the organization — from drafting and negotiation to execution and post-execution compliance. The role ensures that all contractual obligations are met, mitigates risks, and supports business operations through effective contract management.
Additionally, as an in charge of the Document Controller, you are responsible for establishing, managing, and overseeing document control systems and processes to ensure accurate, timely, and secure handling of project and corporate documentation. This role ensures compliance with regulatory, client, and internal document control requirements and plays a key role in supporting project delivery and operational efficiency.
Responsibilities
- Legal Advisory & Strategy : Provide expert legal advice and strategic guidance to the Board, CEO, and senior management on legal risks and implications of business decisions.
- Contract Drafting & Negotiation : Draft, review, and negotiate a wide range of commercial contracts (e.g., service agreements, vendor contracts, NDAs, procurement contracts, client agreements). Collaborate with internal stakeholders (legal, finance, operations) to align contract terms with company policies and risk appetite. Ensure clarity, accuracy, and legal soundness in all contract documents.
- Risk Management, Compliance & Regulatory Affairs : Ensure full compliance with all applicable laws, regulations, and licensing requirements. Monitor changes in legislation that impact the business and proactively manage risk. Lead internal audits and support external regulatory inspections and audits. Identify and mitigate contractual risks and ensure compliance with legal and regulatory requirements. Provide advice on contractual rights and obligations and support dispute resolution. Assist in the development of standard contract templates and clauses.
- Contract Administration : Manage contract lifecycle from initiation to renewal / termination. Maintain a centralized contract repository and ensure proper documentation and version control. Monitor key contract milestones, obligations, deliverables, and expiry / renewal dates. Develop, implement, and maintain the document control system, policies, and procedures. Ensure all documents are filed, stored, and retrieved in accordance with internal standards and project requirements. Maintain control logs and ensure document version control. Act as the point of contact for internal teams and external parties regarding contractual matters. Support procurement, sales, and project teams in contract-related discussions and decisions. Work closely with legal counsel (in-house or external) when needed. Lead and supervise a team of document controllers and administrative staff. Assign tasks, monitor performance, and provide training on document control procedures and systems. Act as the main point of contact for document control issues across departments and projects. Coordinate with project managers, engineers, QA / QC, procurement, and external stakeholders to streamline document flows. Ensure timely distribution and receipt of documents to / from contractors, clients, and vendors.
- Document Review & Compliance : Ensure documents are reviewed, approved, and issued as per company or client requirements. Verify compliance with regulatory standards, industry practices, and contractual obligations. Conduct regular audits to ensure the integrity and accuracy of documentation.
- Reporting & Analysis : Prepare regular reports on contract status, compliance, risks, and key performance indicators. Contribute to continuous improvement of contract management processes and tools. Manage Electronic Document Management Systems (EDMS), ensuring effective usage across the organization. Recommend and implement improvements in document control technologies and workflows.
