Job description

We are recruiting for a Manager/ Senior Manager-level Corporate Secretary position to be seconded to a Private Equity firm. This role offers an excellent opportunity to work directly within a dynamic PE environment while being employed by our client, a leading professional services firm.

Summary

High‑visibility leadership mandate sitting above multi‑country CoSec delivery. Lead and coordinate a pod of delivery resources across APAC to execute traditional company secretarial activities at scale for a leading buy‑side client. Own multi‑jurisdiction workflows across Singapore and offshore hubs, ensure governance is watertight, and keep deal execution on schedule. You will be the day‑to‑day quarterback with the client, external counsel, and deal accountants, while the delivery team handles task execution.

What you will do

Team leadership and resourcing

  • Work with a delivery team across APAC
  • Set priorities, allocate work, clear roadblocks, and uphold quality standards
  • Track capacity and escalate proactively to keep timelines intact

Stakeholder management

  • Primary liaison with client senior stakeholders, external counsel, deal accountants, and internal delivery leads
  • Manage expectations, align on scope and critical paths, and drive decisions

Deal execution governance (APAC)

  • Orchestrate document preparation, routing, and approvals across parties
  • Align timelines and dependencies; maintain audit‑ready documentation

Entity events and onboarding

  • Oversee incorporations, takeovers, redoms, and post‑completion steps across Singapore and offshore hubs
  • Ensure milestones are met ahead of completion dates

Board and committee cadence

  • Own the calendar, participants, agendas, and board pack readiness
  • Ensure resolutions conform to constitutional and regulatory requirements

Controls and compliance

  • Maintain evidence of compliance and robust trackers for filings and submissions
  • Flag risks early and implement corrective actions

Must have

  • Hands‑on funds SPV experience with demonstrable APAC coverage
  • Jurisdictional depth in Singapore plus at least two offshore hubs: Cayman Islands, BVI, Delaware, Luxembourg
  • 5–8 years in corporate secretarial/governance roles serving large, complex funds clients, including team‑lead or pod‑lead responsibility
  • Proven stakeholder management across external counsel and deal accountants
  • Strong program coordination, critical path control, and documentation rigor
  • Clear, timely communication and executive‑ready updates

Nice to have

  • Additional exposure to Hong Kong and other ASEAN markets
  • Experience scaling delivery teams across multiple locations
  • Prior ownership of board cycles and statutory filings for complex structures
