A metal trading and distributor company in Singapore is looking for a Group Legal Counsel to provide comprehensive legal advice on Singapore law and regulations. • Provide legal advice on Singapore law and various regulations.

• Manage disputes when necessary.

• Salary: $8,000 - $12,000 + Bonus
• Working Days: 5 days
• Working Timing: 9AM to 6PM
• Working Location: ANSON ROAD (MRT nearby are Tanjong Pagar or Shenton Way)

Requirements:

• Degree in law (LLB) from a university and called to the Singapore bar.
• 5-8 years of experience in either a law firm or as a legal counsel, collaborating with counter parties in the group’s large North Asia exposure and business dealings.
• Expertise in mergers and acquisitions, general corporate law, knowledge of litigation.
• Keen to join the metal trading & distributor industry and able to travel within ASEAN countries for business purposes.

Job Scopes:

Position holder provides legal advice and legal guidance regarding all aspects of Singapore law and various applicable laws, regulations, and Company rules.

• Legal advisory work: advising the Group’s business departments, Managing Directors of Affiliates, traders, in drafting legal opinions, drafting, reviewing, and negotiating commercial contracts, developing and/or updating relevant templates and standard Terms & Conditions for all businesses in Singapore.
• M&A: leading the legal assistance on business development activities (establishment of new JVs, divestments, acquisitions of shares of assets), assisting, advising and negotiating alongside with the business, finance and tax teams and ensuring the drafting and reviewing of all the corporate transactions, preparing legal notes and coordinating with risk/compliance, tax and finance teams to consolidate a comprehensive legal and compliance opinion.
• Corporate Secretarial: in charge directly or supervising i) incorporation of companies, corporate secretarial, business registration, renewal matters ii) all formalities in relation to board and shareholder meetings and formalities, ensuring compliance with applicable laws on corporate secretarial matters.
• Regulatory: drafting, reviewing and evaluating internal policies.
• Dispute Management: where necessary.
