We are looking for
We are seeking an experienced Legal Counsel to join our Italian team.
Some of the interesting challenges ahead of you
Leasing, Property & Asset Management
- Act as the main legal partner to business teams in the day-to-day management and operation of P3’s Italian portfolio, ensuring legal soundness while enabling business agility.
- Draft, review, and negotiate leases, renewals, amendments, termination agreements, and ancillary documentation, ensuring consistency with legal and business standards.
- Handle and coordinate communications, notices, and contractual matters with tenants, contractors, and consultants.
- Provide user-friendly guidance and practical solutions to non-legal stakeholders, balancing risk mitigation with commercial priorities.
- Foster constructive communication and problem-solving between internal teams and external parties (tenants, contractors, advisors).
- Work closely with various teams (Leasing, Development, Construction, Finance) to understand their needs and provide timely, business-friendly legal support.
- Support the HoL in ensuring legal compliance of the portfolio with internal governance, ESG, and risk management requirements.
Corporate Governance, Compliance & Process Management
- Prepare and maintain corporate documentation for Italian SPVs (e.g. powers of attorney, shareholder/board resolutions, and corporate changes) in close coordination with the Head of Legal Italy (HoL) and Group Legal.
- Support the HoL in managing legal aspects and coordination with the management company of the Italian REIF for which P3 Logistic Parks acts as advisor, ensuring compliance with fund governance rules and alignment with P3’s internal policies.
- Maintain accurate legal records and document management systems in line with internal policies and compliance requirements.
- Support the HoL in developing and improving internal legal templates, workflows, and procedures to enhance efficiency, standardization, and risk management across the Italian business.
- Support the creation of simple, accessible, and user-friendly legal tools and templates that help business teams work more efficiently and independently.
Development Projects & Transactional Advisory
- Draft, review, and negotiate preliminary transactional documents (LOIs, NDAs, offer letters, etc.).
- Draft, negotiate, and manage lease, construction, design, consultancy, and service agreements for development and built-to-suit (BTS) projects, as assigned by the HoL.
- Coordinate external counsel in real estate due diligence and summarize findings clearly and accurately.
- Collaborate with internal teams to align legal input with business objectives and project timelines.
- Coordinate and perform real estate legal due diligence, managing external counsel and reporting key findings to the HoL.
- Provide legal input and support throughout the development lifecycle, and on acquisitions, disposals, and other strategic transactions, as assigned and in coordination with the HoL.
What you need to shine in this role
- Qualified Lawyer, admitted to the Italian Bar (esamedistatopassed), with8–10years of post-qualification experience (PQE), gained within the real estate practice of a leading law firm and/or in-house legal department of a real estate company.
- Provenexpertise in real estate and construction law, including property and asset management, lease negotiations, and development and construction contracts andExperience in corporate administration and in working with real estate investment funds or regulated fund structures is preferred but not essential.
- Expertise and full autonomy in drafting and negotiating of legal documents related to the management of properties and day-to-day work (e.g. PoAs, NDAs, LOIs, NBOLs, consultant/client agreements, works/services agreements, lease agreements, agency agreements and related amendments, handover protocols).
- Strongdrafting and negotiation skillsin both Italian and English.
- Demonstrated autonomy, judgment, and ability to work onmultiple projectsand to providepragmatic business-oriented legal adviceacross complex and time-sensitive matters.
- Team playerwith excellentstakeholder management and communication skills, fostering collaboration across legal, technical, and business teams within a structured corporate environment.
