The Role

We are looking for an experienced and commercially oriented Senior Counsel to establish Vortexa’s in‑house legal function and set up a scalable legal function to support our GTM function and take ownership of all corporate legal affairs (including preparations for an eventual exit). Reporting to the CFO, this is a pivotal position for a legal professional seeking variety, ownership, and the opportunity to influence business‑critical decisions in a global, high‑growth environment.

This role offers the chance to lead strategically while remaining hands‑on, embedding scalable legal operations, developing policy and governance frameworks, and partnering across the business to enable sustainable and compliant growth.

Key Responsibilities
Legal and Governance
  • Establish and build the in‑house legal function at Vortexa
  • Introduce and optimise legal operations (e.g., CLM platforms, e‑signature tools).
  • Maintain oversight of corporate governance, board documentation, company secretarial duties,
    and equity structuring.
  • Advise on open‑source usage, software licensing (in‑bound and outbound), and general IPR
    issues.
  • Provide legal support for dispute resolution and litigation matters.
  • Support due diligence, RFP and Supplier reviews.
  • Liaise with management on legal disclosures and risk.
Commercial and contractual
  • Partner with commercial teams to support customer MSA, NDA negotiations.
  • Lead on contract drafting and the evolution of our terms of business for customers and
    Partnership team (Data Provision Agreements).
  • Advise on supplier agreements, real estate leases, and other commercial matters.
Employee and Workplace Matters
  • Act as the initial point of contact for People team for employee related legal queries or disputes.
  • Collaborate with the People team to monitor and manage employee‑related legal risk.
  • Escalate and manage external counsel engagement as appropriate.
  • Assist People Team to manage Vortexa’s employee equity schemes, to ensure compliance,
    clarity, and appropriate documentation.
  • Proven track record of advising on commercial MSA subscription license agreements and contract frameworks.
  • Qualified solicitor (or equivalent) with several years post‑qualification experience.
  • Background in high‑growth tech businesses (SaaS, Fintech, Oil and Gas or similar); experience in a private equity‑backed company is desirable.
  • Knowledge of multi‑jurisdictional legal environments and cross‑border operations.
  • Confident communicator with the ability to explain complex legal matters in a clear, concise manner to a range of audiences.
