Job description

We are looking for a highly motivated and detail-oriented Paralegal to join our legal team. This role is essential for supporting our investment activities, ensuring regulatory compliance, and maintaining strong relationships with our investors and external partners. The ideal candidate thrives in a fast-paced environment and has a strong foundation in corporate and fund administration matters.

Responsibilities
  • AML/KYB Management: Act as the primary liaison with the fund administrator to manage and execute all AML and KYB processes for new and existing investors. This includes coordinating the collection, review, and ongoing maintenance of all required compliance documentation, as well as the subscription documents relating to managed funds.
  • Investor and Stakeholder Relations: Manage direct communication and coordination with current and prospective investors, external advisors (e.g., fund counsel, tax advisors, auditors), and internal teams regarding legal and fund-related queries.
  • Legal Documentation: Draft, review, and organize a wide range of legal documents, including investment agreements, NDA, limited partnership agreements, shareholder agreements, and other corporate and fund governance materials.
  • Fund and Deal Support: Provide robust support throughout the investment lifecycle, from due diligence and preparation of closing documentation to post-close follow-up and tracking of conditions precedent/subsequent.
  • Corporate Governance & Records: Maintain and update corporate records, cap tables, and entity organizational charts for the fund and its portfolio companies to ensure accurate and current legal standing.
  • Compliance & Administration: Assist with regulatory filings (e.g., Blue Sky, Form D) and manage the fund's contract database and legal record-keeping system.
Requirements
  • Experience: At least 2 years of experience as a Paralegal in a law firm or in-house legal team, with demonstrable exposure to investment funds (Venture Capital, Private Equity, or Asset Management highly preferred).
  • Education: Bachelor’s degree in Law, preferably in a common law jurisdiction. Completion in full or in part of legal professional training (LPC, SQE, etc) is a significant plus.
  • Proven hands-on experience managing AML/KYC procedures in a regulated financial environment.
  • Strong working knowledge of corporate law, fund administration processes, and general contract drafting.
  • Familiarity with investment fund structures (e.g., LPs, GPs) is highly desirable.
  • Exceptional interpersonal and communication skills (written and verbal).
  • Outstanding attention to detail, organizational abilities, and a proven capacity to manage a high-volume workload and multiple complex transactions simultaneously.
