Role Summary

As Secretary on the Board, you will play a key role in ensuring effective governance, accurate record-keeping, and smooth communication across the organization. You will be the custodian of the Council's official records, ensuring compliance with bylaws and regulatory requirements while enabling the Board to make informed decisions. This is a volunteer position ideal for a detail-oriented professional who values good governance, transparency, and the vital role of arts and culture in enriching community life.

Responsibilities
  1. Governance and records management
    • Maintain accurate and up-to-date records of all Board meetings, including minutes, attendance, and resolutions.
    • Ensure official documents such as bylaws, policies, and Board decisions are securely stored and accessible.
    • Safeguard the organization's incorporation documents, filings, and key legal records.
  2. Meeting preparation and documentation
    • Work with the Chair and Executive Director to prepare and distribute agendas, supporting materials, and meeting notices in accordance with bylaws.
    • Record and circulate draft minutes promptly, ensuring clarity and accuracy.
    • Track action items and decisions to support Board accountability and follow-through.
  3. Compliance and reporting
    • Ensure the organization complies with relevant governance and reporting requirements under the Societies Act of Alberta and other applicable regulations.
    • File annual returns and maintain the Council's official registry information (e.g., directors, officers, registered office).
    • Support the Treasurer and Executive Director in ensuring Board records align with financial and legal reporting.
  4. Communication and Coordination
    • Act as a communication hub for Board members, ensuring timely sharing of information and updates.
    • Coordinate correspondence on behalf of the Board, including responses to stakeholders, funders, and community partners when appropriate.
    • Assist with the orientation of new Board members by preparing governance documents and background materials.
  5. Strategic Contribution
    • Collaborate with fellow Board members to evaluate governance processes and recommend improvements.
    • Support decision-making by ensuring the Board has the necessary information and records to guide discussions.
    • Champion transparency and accountability as integral to AACC's mission and community impact.
Our Ideal Candidate Profile
Qualifications
  • Experience with nonprofit governance, board administration, or secretarial duties.
  • Familiarity with the Societies Act of Alberta and nonprofit reporting obligations is an asset.
  • Regional to Airdrie preferred for attendance and involvement purposes.

  • Ability to communicate clearly and concisely, both in writing and verbally.

Board term and commitment
  • Volunteer board term : Typically 2 years, renewable.
  • Estimated time : 5–10 hours / month.
  • Attendance at monthly board meetings, along with Board financial reporting, and initiative participation as able.
