Job Purpose
The Senior Consultant of M&A will manage the company’s mergers and acquisitions strategy, focusing on identifying, evaluating, and executing deals to drive inorganic growth. This role will oversee the entire M&A lifecycle—from target screening and financial analysis to due diligence, deal structuring, negotiation, and post-merger integration—ensuring alignment with the company’s strategic objectives.

Key Activities
- Lead end-to-end acquisition processes including term sheet negotiation, definitive agreement execution, and closing coordination
- Manage external advisors (investment banks, legal counsel, accounting firms) to ensure optimal deal outcomes
- Develop and execute creative deal structures to maximize value and minimize risk
- Oversee the entire deal lifecycle from initial contact through post-closing transition
- Ensure compliance with regulatory requirements and internal approval processes
Alternative Corporate Development
- Establish and manage corporate venture capital (CVC) program to invest in emerging cybersecurity technologies
- Identify and evaluate joint venture opportunities with complementary technology providers
- Structure and negotiate strategic alliances and co-development agreements
- Monitor and manage portfolio performance of CVC investments and JVs
Market Research & Opportunity Identification
- Conduct comprehensive market scans to identify emerging cybersecurity technologies, products, and service providers
- Develop detailed target profiles including market position, financial health, and cultural fit
- Maintain a proprietary database of potential targets with regular updates on valuation trends
- Monitor venture capital activity and startup ecosystems for potential CVC investments
- Identify divestiture opportunities where non-core assets could be monetized
Financial Analysis & Strategic Evaluation
- Build complex financial models to assess valuation, accretion / dilution, and synergy potential
- Perform scenario analysis to evaluate different deal structures and their financial impact
- Benchmark targets against industry peers and historical transactions
- Develop business cases for non-M&A growth initiatives (JVs, strategic investments)
- Coordinate cross-functional due diligence teams (legal, financial, technical, HR)
- Identify and quantify risks (customer concentration, technology obsolescence, talent retention)
- Prepare comprehensive due diligence reports with clear recommendations
- Develop risk mitigation strategies and contingency plans
- Conduct commercial due diligence on market positioning and competitive landscape
Deal Structuring & Negotiation
- Develop innovative deal structures including earn-outs, stock swaps, and strategic partnerships
- Lead negotiations on key terms including purchase price, reps & warranties, and covenants
- Work with tax experts to optimize deal structures for fiscal efficiency
- Negotiate shareholder agreements and joint venture operating agreements
- Resolve complex deal issues and overcome impasses in negotiations
Post-Merger Integration (PMI) & Value Realization
- Develop 100-day integration plans with clear milestones for technology and operations
- Establish integration management offices (IMOs) to track progress and resolve issues
- Implement synergy tracking mechanisms to ensure projected benefits are realized
- Develop playbooks for integrating different types of acquisitions
Stakeholder Management & Board Engagement
- Prepare board-level presentations articulating strategic rationale and expected ROI
- Develop alternative scenarios and contingency plans for board consideration
- Present regular updates on corporate development pipeline and portfolio performance
- Manage relationships with JV partners and CVC portfolio companies
- Align internal stakeholders across business units and functional areas
Cross-Functional Leadership
- Partner with product teams to assess how acquisitions fill technology gaps
- Work with HR on talent retention strategies and cultural integration
- Collaborate with regional leaders to onboard acquired entities globally
- Partner with CFO on capital allocation strategy
- Collaborate with CTO on technology scouting and startup engagement
AOR (Any Other Responsibilities)

Job Specifications
Skills / Certifications (Technical & Non-Technical)
- Proven track record of successfully closed deals in the 1M−50M USD range.
- Technical Skills : Expert-level financial modeling (LBO, DCF, merger models); familiarity with cybersecurity technologies.
- Negotiation & Stakeholder Management : Experience negotiating with founders, PE firms, and corporate sellers.
- Industry Knowledge : Deep understanding of cybersecurity markets, competitive landscape, and emerging technologies.
Minimum Work Experience & Education
- Bachelor’s degree in finance, business administration, accounting, or related field (required). MBA or equivalent advanced degree (preferred).
- Experience : 7+ years in M&A, corporate development, investment banking, or private equity, preferably in cybersecurity, IT services, or tech
