Job Responsibilities

We are seeking a proactive and business-minded Legal Counsel to support the Company on matters relating to business contracts, commercial transactions, intellectual property (IP). The role will involve providing strategic legal advice, managing IP portfolios, drafting and negotiating commercial agreements, and partnering closely with internal stakeholders to enable business growth while ensuring compliance and risk management.

Contracts & Commercial
  • Draft, review, and negotiate a wide range of commercial agreements, including vendor, supplier, distribution, partnership, and service contracts.
  • Support business development teams in structuring and negotiating strategic transactions.
  • Develop and maintain standard templates and playbooks for contracts to improve efficiency and consistency.
  • Advise on contract interpretation, risk allocation, and dispute resolution.
  • Ensure contracts and commercial activities comply with laws, regulations, and company policies.
General Legal Support
  • Provide legal advice to management and internal stakeholders across corporate and operational matters.
  • Collaborate with cross‑functional teams (R&D, HR, Finance, etc.) to align legal solutions with business objectives.
  • Liaise with and manage external counsel for specialized legal issues.
  • Support compliance initiatives, governance matters, and regulatory filings where required.
  • Perform any other ad‑hoc duties as assigned by the Manager, as required to support the team and organizational goals.
Intellectual Property (IP)
  • Advise on IP strategy, including patents, trademarks, copyrights, and trade secrets.
  • Draft, review, and negotiate IP‑related agreements (e.g., licensing, R&D collaboration, technology transfer).
  • Manage the registration, maintenance, and enforcement of the Company’s IP rights in coordination with external agents.
  • Conduct IP due diligence for partnerships, M&A, or joint ventures.
  • Provide training and guidance to employees on IP awareness and protection.
Project Management
  • Support end‑to‑end AST Project Management activities.
  • Coordinate with business stakeholders to track progress and ensure adherence to project timelines.
  • Maintain and update the AST Master Project Schedule, ensuring accuracy and alignment across workstreams.
Job Requirements
Professional Qualifications:
  • Bachelor of Laws (LLB) or Juris Doctor (JD), with admission to practice in a recognized jurisdiction.
  • 4–8 years of post‑graduation experience (PQE), preferably in a Multinational Company or reputable law firm.
Specialized Knowledge & Skills:
  • Strong experience in intellectual property law, commercial contracts, and corporate transactions.
  • Excellent drafting, negotiation, and communication skills.
  • Strong business acumen with ability to balance legal risks against commercial objectives.
  • Ability to identify, assess, and mitigate legal and business risks while ensuring compliance with local and international regulations.
