Job Description

We are looking for an experienced Corporate Secretary to join our professional services team. The successful candidate will be responsible for handling corporate secretarial matters, ensuring statutory compliance, and providing governance support to clients in accordance with ACRA and Companies Act requirements.

Key Responsibilities
  • Handle full spectrum of corporate secretarial duties for a portfolio of local and international clients.
  • Prepare and file statutory documents with ACRA including annual returns, resolutions, share allotments, and director changes.
  • Maintain and update company registers and minute books.
  • Assist in incorporation of new companies, striking off, and corporate restructuring.
  • Ensure compliance with the Companies Act and relevant regulatory requirements.
  • Liaise with clients, auditors, tax agents, and other government authorities.
  • Provide advisory support on corporate governance and business structuring when needed.
Requirements
  • Minimum 2 years of relevant corporate secretarial experience in a professional firm or corporate services provider.
  • Diploma/Degree in Business Administration, Law, or equivalent.
  • Preferably an Associate (or student member) of SAICSA / CSIS (Chartered Secretaries Institute of Singapore).
  • Good knowledge of ACRA BizFile+, Companies Act, and corporate compliance procedures.
  • Meticulous, responsible, and able to handle multiple deadlines independently.
  • Proficient in both written and spoken English (Mandarin is an advantage to liaise with Mandarin-speaking clients).
  • Team player with strong client service orientation.

Additional Responsibilities
  • Lead our firm’s corporate secretarial practice.
  • Maximize revenue of the department through high quality client relationship management.
  • Manage and maintain a portfolio of Singapore business entities that we administer on behalf of our clients.
  • Liaise with and advise clients on company formation, company statutory administration, work passes, business licenses, and related matters.
  • Advise, prepare necessary documents, file with ACRA and other statutory bodies, and maintain statutory records on all matters related to initial incorporation, annual compliance, and ad-hoc change requests for client companies.
  • Liaise with statutory bodies, banks, and other third-party business partners, as required.
  • Supervise and assign work to junior staffs.
  • Streamline all workflow processes within the department to ensure prompt and professional service.
  • Maintain and keep current the database of all client companies within our software systems.
  • Responsible for compliance including maintaining clients KYC records.
  • Perform other ad-hoc duties as assigned.
