Job summary

A global consulting firm in Singapore is seeking a Corporate Secretarial professional with at least 5 years of experience. Responsibilities include maintaining statutory records and ensuring compliance with the Singapore Companies Act. The ideal candidate will have a diploma or degree related to Business Administration or Law. Proficiency in Mandarin is preferred for effective communication with clients.

Qualifications

  • Minimum 5 years of Corporate Secretarial service experience with professional services firms.
  • Knowledge of the Singapore Companies Act and latest ACRA filing requirements.
  • Proficient in Mandarin to communicate with Chinese speaking clients.

Responsibilities

  • Maintain statutory registers and corporate records in compliance with the Companies Act.
  • Prepare and file annual returns with the Accounting and Corporate Regulatory Authority (ACRA).
  • Draft statutory forms and resolutions for corporate transactions.

Roles & Responsibilities

  • Maintain statutory registers and corporate records in compliance with the Companies Act.
  • Prepare and file annual returns and other required statutory documents with the Accounting and Corporate Regulatory Authority (ACRA).
  • Draft directors’ and shareholders’ resolutions, statutory forms, and supporting documents for corporate transactions (e.g., incorporation, share allotments/transfers, and strike-offs).
  • Liaise and coordinate with regulatory authorities (e.g., ACRA), banks, auditors, and external stakeholders as necessary.
  • Perform Customer Due Diligence (CDD) checks, including onboarding and ongoing monitoring.
  • Monitor and ensure compliance with applicable laws and regulations, keeping the company informed of any relevant changes.
  • Manage effective communication with shareholders, ensuring timely and accurate dissemination of information.

Requirements

  • Minimum 5 years of Corporate Secretarial service experience with professional services firms such as Corporate Service Provider or an accounting firm.
  • Diploma or Degree in Business Administration, Law or related field.
  • Knowledge of the Singapore Companies Act and latest ACRA filing requirements.
  • Good Communication skills, with proficiency in Mandarin preferred to liaise effectively with Chinese speaking clients.
  • Able to manage multiple priorities and meet deadlines effectively.
  • Fast learner, you can expect to gain knowledge from various areas in a fast pace environment.
  • Team player with the ability to multi-task, work under pressure.
