HSBC's Legal function plays a critical role in supporting the bank's global operations, managing legal risk, and ensuring the efficient and effective use of external legal resources. We work closely with leading law firms and alternative legal service providers to secure the best commercial and strategic outcomes for the bank.

We are currently seeking a Senior Legal Counsel to join the UK, Capital Markets and Advisory Legal Function in the Leveraged and Acquisition Finance and Event Financing Legal team.

The role of Senior Legal Counsel is to provide a high quality, timely and cost effective origination support and transaction execution service to the Leveraged & Acquisition Finance "(LAF)" and Event Financing businesses in London, Paris, Dusseldorf, Dubai and the US, primarily to support the structuring and execution of leveraged finance, event financing, growth markets, infrastructure and investment grade loan financings.

In this role, you will:
  • Lead the structuring, review and negotiation of finance documentation for cross border loan financings (with involvement from pitch phase to completion, and thereafter), alongside the LAF and Event Financing origination and syndication teams;
  • Demonstrate a good commercial understanding of a range of loan transactions and structures and maintain a detailed knowledge of current market terms and trends;
  • Partner with the LAF and Event Financing businesses and other stakeholders to resolve legal, reputational and other internal issues;
  • Manage relationships with the various internal and external stakeholders, including but not limited to, LAF and Event Financing senior management, Issuer Services, colleagues in CIB Legal (both in London and in other teams globally), Portfolio Management, Compliance, ESG, Credit, and Tax; and
  • Keep abreast of relevant regulatory and legal developments insofar as they affect LAF and Event Financing transactions.
To be successful in this role you should meet the following requirements:
  • Qualified Lawyer with extensive PQE in relevant sector, experience gained either within a top tier private practice; with an excellent knowledge of banking, law concepts and a working knowledge of the laws in the major jurisdictions in which HSBC operates.
  • Term Loan B experience essential, high yield and/or private credit experience an advantage, but not essential.
  • Excellent written and spoken communication skills, with experience of adapting your style and approach to the audience and message to be delivered.
  • Ability to think laterally and offer solutions to business problems with a track record of making complex business decisions with authority, even in times of ambiguity, considering the potential long-term risks and implications.
  • Ability to prioritise and work directly with the LAF and Event Financing businesses, autonomously building and managing the team's relationships with senior stakeholders.

The role location will be London and follows a Hybrid working pattern.
