Role overview
Introduction to the role :

We are looking for a talented corporate lawyer to join our well-established corporate team in London. Working closely with the Head of Corporate Healthcare, Monica Macheng, you will predominantly focus on mergers and acquisition work (M&A) for a range of funders, investors, operators, and developers within the independent health & social care sector whilst also working closely with the wider corporate team on a range of matters.

Introduction to the team :

Our highly experienced and recognised corporate team operates from our offices in Liverpool, Manchester, London, Leeds, Hong Kong and Singapore. We offer our clients accessible corporate support from our experienced national and international network and specialise in advising a range of clients, from large-listed companies and private equity funds to smaller start-up and owner-managed businesses and management teams on the full range of transactions – both domestic and cross‑border.

Key responsibilities :
  • Independently supporting / leading on mergers, acquisitions, disposals, reorganisations, and investment transactions for corporate clients predominantly within the independent health & social care sector
  • Independently supporting / leading acquisitions and disposals of business and assets and / or shares
  • Independently supporting / leading due diligence exercises, data room reviews or management and disclosure processes (be it in relation to buy side or sell side legal disclosure work);
  • Preparation and finalisation of disclosure letters and supporting bundles
  • Supporting on and reviewing investment documents either acting for investing institutions or management teams on PE backed transactions or placing agreements.
  • Drafting and negotiating the terms of transaction ancillary documents (such as completion board minutes, deeds of waivers, resignation letters, Companies House forms etc.)
  • General corporate work including corporate restructurings, shareholders agreements, joint ventures, and limited liability partnership agreements, specifically drafting the principal documents.
  • Assisting with business development and tenders including (where appropriate) research about clients and targets
  • Opportunities for early exposure to clients.
What are we looking for
Essential :
  • Law degree (or equivalent)
  • Clear and demonstrable experience completing M&A or private equity transactions.
  • Excellent communication skills both written and verbal.
  • Excellent organisational skills with the ability to prioritise.
  • Proficient in use of document management systems
  • The ability and experience of independently managing a caseload providing sound commercial advice.
  • Strong technical skills and a willingness to learn.
  • Adheres to guidelines and procedures.
  • An understanding of clients’ needs and expectations.
  • Flexibility in approach and a willingness to work outside normal office hours, if required.
