As a (Senior) Legal Counsel Mundamp;A (f/m/d) you will be part of the E.ON SE team, advising on Mundamp;A and Venture Capital transactions, supporting project phases, negotiating contracts, designing restructuring measures, preparing governance approvals, and managing external legal advisors.

Responsibilities

• Advisory: Legal advisory on Mundamp;A and Venture Capital transactions as well as Equity Joint Ventures of the E.ON Group
• Execution: Management and support of projects across all transaction phases, from preparation (due diligence, development of transaction structures, drafting of contractual documents) to closing and execution
• Negotiation: Independent conduct of contract negotiations
• Restructuring: Design and implementation of transaction‑related restructuring measures
• Governance: Preparation and coordination of required corporate governance approvals
• Coordination: Management of external legal advisors

Professional qualifications and experience

• Professional qualifications: Fully qualified lawyer with at least one “vollbefriedigend” state examination (with distinction preferred)
• Professional experience: Minimum of 3 years of professional experience focused on Mundamp;A, Venture Capital, and corporate law in a law firm or corporate environment
• Leadership experience: Experience independently managing projects, leading contract negotiations, and coordinating external legal advisors
• Specific expertise: Strong understanding of commercial contexts; ability to work cross‑functionally; expertise in transaction structures, due diligence, contract drafting, and transaction‑related restructuring
