Team / division overview

We are seeking a legal professional to join our Legal team, specializing in derivatives documentation and trading agreements. The role will focus on drafting, negotiating, and maintaining ISDA Master Agreements (under both laws of England and Wales, and New York law), Credit Support Annexes (CSAs), Master Confirmation Agreements (MCAs), Account Control Agreements (ACA), Pledge Agreements, Futures Clearing Agreements, Master Risk/Repo agreements (MRAs), Master Securities Forward Transaction Agreements (MSFTAs) and Global Master Securities Lending Agreements (GMSLAs), supporting both fund platforms and institutional accounts across jurisdictions.

The successful candidate may at times be afforded the opportunity to expand their skills to assist in other areas or projects to support the broader DWS business.

The legal team is a friendly, collegiate and dynamic team. We are looking for a team-player who enjoys working with lawyers and non-lawyers alike. An ability to build relationships with business colleagues and quickly win their confidence is of paramount importance. The successful candidate will need to be able to manage matters autonomously (under the supervision and direction of senior colleagues). The position also offers the opportunity to work with DWS Legal and business colleagues in multiple jurisdictions, including the US, APAC, Germany and Luxembourg.

Role Details

As a(Senior)Legal Counsel (Derivatives Specialist) you will (be) :

Draft, review, and negotiate ISDA Master Agreements, CSAs, MCAs, ACAs, Pledge Agreements, Futures Clearing Agreements, MRAs, MSFTAs, GMSLAs, and related documentation and confirmations

Provide legal support for derivatives and securitieslendingtransactionsacross FX, equities, commodities, and fixedincomeassetclasses

Liaise with external counsel and internal stakeholders (e.g., Capital Markets, Product Legal, Risk, Collateral Management, Compliance) to ensure commercial, enforceability and regulatoryalignment

Maintainoversightofcontractrepositories and ensure proper documentationstorage and retrievalprotocols

Maintainprocedures and negotiationguides in linewith internal and regulatoryrequirements

Advise on regulatorydevelopments (forexample, EMIR, Dodd-Frank, UCITS, SEC, CFTC and NFA) and otherjurisdictionalrequirements

Participate in global workinggroups and contribute to theimplementationofregulatorychanges

Collaboratewith internal stakeholders to support derivatives disclosure and reporting

We are looking for

Preferably a qualifiedlawyerwith 5+ yearsofexperience in derivatives and tradingdocumentationwithin a financialinstitutionorlaw firm

Deep understandingof ISDA architecture and repo / securitieslendingframeworks

Familiaritywithfundstructures and investmentplatforms (e.g., SICAVs, Irish PLCs, ICAVs, CCFs, FCPs, 1940 Act US registered funds)

Strong graspofregulatoryregimesacrossthe EU, UK, and US

Excellentdrafting and negotiationskills

Fluent in English; German orotherlanguageskillsare a plus

Experience with electronic confirmationsystems, S&P Markit (Counterparty Manager, ISDA Amend), and contractlifecyclemanagementtools

Exposure to cross-border legal issues and multi-jurisdictionaldocumentation

Prior involvement in centralizing legal workflowsorprocessoptimization initiatives

Excellent verbal and writtencommunicationskills; and

Goodcommercial sense
