A Day in the Life

We are seeking a dynamic and experienced Capitalization Table Financial Specialist to join our Emerging Technology & Venture Capital practice group. The ideal candidate will be instrumental in driving analytics and delivering high-quality insights in the emerging technology and venture capital sectors by providing financial advisory services, building capitalization table models, and liaising with equity management software platforms.

Fasken is a leading Canadian law firm for VC financings and tech M&A and acts for many of the best-in-class startup and scale up innovation-based companies in Canada.

This role offers a hybrid work arrangement.

Responsibilities
  • Build out proforma capitalization tables (convertible notes, SAFEs, equity financing rounds, secondary sales, spin-offs, etc.), distribution waterfalls, escrow analysis, options vesting, and other models on various financing and M&A transactions.
  • Inform the team and clients on broader intelligence regarding clients, their competitors, and the industry.
  • Support internal business decisions with data-backed recommendations.
  • Leverage data to produce market studies and business cases for new projects / programs.
  • Coordinate the onboarding process for clients on various equity management platforms, including liaising between the Carta team and clients.
Qualifications
  • Post-secondary education in accounting, finance, economics, or a related field.
  • Chartered Financial Analyst (CFA) Level 1 preferred.
  • 3–5 years of experience in finance, investment banking, or a related field.
  • Strong analytical skills and problem-solving mindset.
  • Substantial experience with capitalization tables and financial models.
  • Familiarity with equity management software (e.g., Carta) and legal entity management tools (e.g., ALF Corporate, MinuteBox).
  • Advanced Excel modelling and financial statement analysis skills.
  • Customer service-oriented with excellent collaboration skills.
  • Deadline-driven with the ability to manage multiple assignments in a fast-paced environment.
  • Experience in a professional services environment is an asset.
Compensation

Thetypical salary range for this position is $75,000 - $95,000 annually; the base pay offered is based on location and may vary depending on job-related knowledge, skills, experience, internal and market equity.
