Job summary

EDF power solutions North America is seeking a Counsel to handle corporate governance, procurement, EPC agreements, and M&A activities in a hybrid work environment across U.S. locations including San Diego.

The role focuses on reviewing and negotiating service agreements, joint ventures, project finance, and interconnection agreements, while supporting development, construction, and operation of renewable energy projects. Collaboration with cross-functional teams is essential.

Qualifications

• Leads negotiation, drafting, and review of commercial contracts and M&A documents.
• Supports due diligence for project finance, project equity transactions, and related agreements.
• Provides guidance on compliance initiatives and regulatory matters.

Responsibilities

• Leads the negotiation, drafting, and critical review of commercial contracts, merger and acquisition agreements, project debt finance documents, offtake and interconnection agreements.
• Supports internal clients and other legal team members with due diligence for transactions and financing activities.
• Manages in-house counsel or outside counsel engaged to represent the Company and supports compliance initiatives.
• Leads training programs related to company policies for North America employees and promotes best practices.
