Job summary

EDF Power Solutions North America seeks a Counsel to oversee corporate governance, procurement, and strategic transactions for renewable energy projects. The role focuses on reviewing and negotiating service and construction contracts, joint ventures, and project financing while ensuring regulatory compliance.

Based in a hybrid environment with assignments across North America, the role requires leadership in M&A, contract management, and advising stakeholders on complex commercial matters

Qualifications

• Juris Doctorate from an ABA-accredited U.S. law school or a J.D./LL.B. from a Canadian law school.
• Active bar admission in good standing in at least one U.S. state or Canadian province/territory.
• Minimum of three (3) years of law firm and/or in-house experience; five (5+) years preferred; renewable energy background encouraged.
• Proven track record drafting, negotiating, and reviewing complex renewable energy project documents (PPAs, interconnection, etc.).

Responsibilities

• Lead negotiations, drafting, and critical review of commercial contracts, merger and acquisition agreements, project debt finance documents, and interconnection/ transmission documents.
• Support due diligence for transactions related to project debt financing, equity financing, and related agreements.
• Provide counsel to cross-functional stakeholders to set legal strategy on transactions and regulatory matters.
• Oversee external counsel and contribute to internal policy training and compliance initiatives.
