Job summary

Cloudera is seeking a Contracts Manager to join its legal team supporting the U.S. sales organization.

You will review, draft, and negotiate a broad range of commercial contracts, including enterprise subscriptions, services agreements, NDAs, and statements of work, while participating in process improvements. You will collaborate with cross-functional teams, ensure compliance with policy, manage contract data, and mitigate risk.

Qualifications

• Minimum of 5+ years of experience negotiating sell-side business technology and digital data contracts, preferably enterprise software contracts.
• Strong knowledge of legal issues affecting software companies, such as data privacy, intellectual property protection, cloud computing, software development, and revenue recognition.
• Expertise in artificial intelligence, commercial transactions, and complex technology negotiations.
• Superior communication and internal/external customer service skills.
• Must be comfortable and confident in dealing directly with customers, sales teams, and all levels of management.

Responsibilities

• Negotiation & Expertise: Work with cross-functional teams and customers to provide contracting expertise for new and follow-on business.
• Policy Compliance: Ensure all agreements comply with company policies and global legal standards on hybrid deployment cloud software, data privacy, and licensing requirements.
• Risk & Advisory: Prepare contract paperwork, advise stakeholders of contractual rights and obligations, and mitigate risks.
• Data Management: Compile and analyze contract-related data while maintaining accurate historical contract information.
• Build rapport with internal clients and leverage relationships to facilitate closing contracts efficiently while minimizing risk.
