Job summary

Absorb Software, a leading global AI-driven learning platform, seeks a seasoned Commercial and Technology Transactions Counsel to join our remote-first team. In this role, you’ll negotiate B2B SaaS and enterprise software agreements, draft and refine vendor contracts, data privacy terms, and IP provisions, partnering with Sales, Product, Finance, and Security to close deals.

You’ll bring a JD with admission to practice in at least one jurisdiction and 5+ years of experience in technology

Qualifications

• J.D. or equivalent law degree; active admission to practice in at least one jurisdiction.
• Minimum 5 years of relevant commercial and technology transactional legal experience, with substantial hands‑on negotiation of B2B SaaS and enterprise software agreements.
• Strong drafting and negotiation skills; knowledge of technology licensing, IP, privacy and information security matters.

Responsibilities

• Negotiate a broad range of commercial contracts including NDAs, data processing, vendor and procurement agreements.
• Advise on indemnities, liability limitations, warranties, IP rights, data usage, confidentiality and data security obligations.
• Collaborate with Sales, Product, Finance, Procurement, Privacy and Security to structure practical solutions and close deals.
• Independently manage concurrent negotiations, assess risks, and provide clear guidance to stakeholders.
• Support contracting for AI-enabled products, including data use, model training, and risk allocation.
• Collaborate on international transactions and jurisdiction-specific contracting requirements.
• Develop and improve standard agreement templates, negotiation playbooks, and contract processes.
