Absorb Software, a leading global AI-driven learning platform, is hiring a senior commercial counsel for a fully remote role in the United States. The lawyer will negotiate NDAs, DPAs, vendor and distribution agreements, and technology partnerships, while advising on indemnities, IP, privacy and data security matters.

The role requires a J.D. and 5+ years of B2B SaaS and enterprise software experience, with strong drafting and negotiation skills.

Formación

• J.D. or equivalent and active admission to practice in at least one jurisdiction.
• Minimum 5 years of commercial and technology transactional experience, with substantial B2B SaaS/enterprise software negotiating.
• Strong contract drafting, negotiation and commercial judgment; knowledge of IP, privacy and information security.
• Ability to work independently, prioritize deadlines and collaborate with cross-functional teams.
• Preferred: AI or generative AI contracting and global/cross-border negotiations.

Responsabilidades

• Negotiate a broad range of commercial contracts including NDAs, DPAs, vendor and procurement agreements, and technology partnerships.
• Advise on indemnities, liability limitations, warranties, IP rights, data usage, confidentiality, privacy and information security obligations, payment terms and termination rights.
• Partner with Sales, Product, Finance, Procurement, Privacy and Security to structure practical solutions and close deals.
• Independently manage concurrent negotiations and assess material legal/commercial risks for business stakeholders.
• Support contracting for AI-enabled products and services, including data use, model training and risk allocation.
• Collaborate on international transactions and jurisdiction-specific contracting requirements.
• Develop and improve standard templates, negotiation playbooks and contract processes.
