Job summary

Absorb Software is seeking a Commercial Counsel to lead complex SaaS and technology transactions. You will negotiate licenses, NDAs, DPAs, and other agreements, advising on indemnities, liability, IP, privacy, and security while partnering with Sales, Product, Finance, and Procurement to close deals.

Ideal candidates have 5+ years in commercial/tech law, JD with bar admission, and experience with AI contracting.

Qualifications

• JD or equivalent law degree with active bar admission.
• 5+ years in commercial/tech transactional law with B2B SaaS.
• Strong drafting, negotiation, and commercial judgment on licensing, IP, privacy and security.
• Ability to work independently and cross-functionally with teams.
• Experience with AI or generative AI contracting preferred.

Responsibilities

• Negotiate licenses, orders forms, statements of work, service level agreements and professional services agreements.
• Negotiate a broad range of commercial contracts, including NDAs, data processing agreements, vendor and procurement contracts, technology partnerships, reseller and distribution agreements.
• Advise on indemnities, limitations of liability, warranties, intellectual property rights, data usage, confidentiality, privacy and information security obligations, payment terms and termination rights.
• Partner with Sales, Product, Finance, Procurement, Privacy and Security to structure practical solutions and support timely deal closure.
• Independently manage concurrent negotiations, assess and elevate material legal and commercial risks, and provide clear, actionable guidance to business stakeholders.
• Support contracting for AI‑enabled products and services, as applicable, including issues relating to data use, model training, output rights and allocation of risk.
• Collaborate on international transactions and jurisdiction‑specific contracting requirements, when needed.
• Develop and improve standard agreement templates, negotiation playbooks, fallback positions and contract processes.
