Job summary

Beacon Hill Staffing Group, LLC is seeking an experienced Corporate Governance & Securities Counsel, Director on a remote (US-based) basis to support complex governance, SEC reporting, and board matters. This senior role requires 12+ years of public company experience and the ability to work independently with cross-functional teams.

The assignment runs for approximately eight months with potential extension.

Qualifications

• JD from an accredited law school
• Active bar license in good standing in at least one U.S. jurisdiction
• 12+ years of corporate legal experience in a sophisticated setting
• Experience with SEC reporting and disclosure including 10-K/10-Q
• Experience with corporate governance, Board matters, and disclosure review
• Knowledge of SEC regulations, Nasdaq listing standards, SOX, Dodd-Frank
• Ability to independently advise senior executives on complex governance matters
• Experience cross-functionally with Finance, Investor Relations, Tax, HR and Treasury

Responsibilities

• Lead governance processes supporting the Board and committees
• Prepare and review Board materials, resolutions, minutes, and shareholder meeting docs
• Advise leadership on governance trends, policies and practices
• Lead SEC reporting and disclosure including 10-K, 10-Q, 8-K and proxy statements
• Support insider trading compliance and Section 16 reporting
• Manage subsidiary governance and related entity structures
• Collaborate with Finance, Investor Relations, Treasury on earnings and disclosures
• Support strategic transactions and financing arrangements
• Leverage technology to modernize governance and reporting processes
