Beacon Hill Staffing Group, LLC is seeking an experienced Corporate Governance & Securities Counsel, Director for a remote, eight-month assignment with potential extension. The role supports complex SEC reporting, governance programs, and board matters for a global medical device company.

The ideal candidate has 12+ years of corporate law, an active U.S. bar, and a proven track record advising public companies and cross-functional teams including Finance and Investor Relations.

Qualifications

• JD from an accredited law school.
• Active bar license in good standing in at least one U.S. jurisdiction.
• 12+ years of corporate legal experience in sophisticated settings.
• Experience with SEC reporting and disclosure (10-K/10-Q).
• Knowledge of governance documents, Board matters, and subsidiary governance.

Responsibilities

• Lead governance processes for the Board and committees.
• Prepare and review agendas, materials, resolutions, minutes, and annual meeting documentation.
• Advise leadership on governance matters, policies and best practices.
• Ensure compliance with governing documents, committee charters and governance guidelines.
• Support SEC reporting, disclosure controls, and corporate compliance processes.
• Collaborate with Finance, Investor Relations, Treasury and HR on disclosures and governance matters.
