Job summary

Beacon Hill Staffing Group, LLC seeks a senior Corporate Governance & Securities Counsel, Director to support a global public medical device company on a roughly 8-month remote assignment. The role requires extensive SEC experience, board governance, and cross-functional collaboration with senior leaders.

The successful candidate will draft disclosures, manage SEC filings, advise executives, and oversee subsidiary governance while navigating a fast-paced environment.

Qualifications

• JD from an accredited law school and active US bar license.
• 12+ years corporate legal experience with SEC reporting and governance.
• Experience with SEC filings, risk factors, and governance matters.
• Deep knowledge of SEC regulations, Nasdaq listing standards, SOX and Dodd-Frank.
• Ability to partner with senior leadership across multiple functions.

Responsibilities

• Lead governance processes for the Board and committees; manage agendas and materials.
• Oversee SEC reporting and disclosure (10-K/10-Q/8-K) and related filings.
• Support corporate governance, board matters, and subsidiary governance oversight.
• Partner with Finance, IR, Treasury, Tax, HR, and Legal on disclosures and strategy.
• Drive efficiency via governance tooling, automation, or AI where applicable.
