Job summary

Beacon Hill Staffing Group, LLC is seeking an experienced Corporate Governance & Securities Counsel, Director to support its corporate securities and governance function on a temporary basis. This senior role focuses on SEC reporting, governance, board matters, and strategic initiatives.

Ideal candidates will have 12+ years of experience advising public companies, strong independence, and the ability to work with senior executives and cross-functional teams including Finance, IR, Tax and HR.

Qualifications

• J.D. from an accredited law school is required.
• Active bar license in good standing in at least one U.S. jurisdiction.
• 12+ years of corporate legal experience in sophisticated settings.
• Experience with SEC reporting and disclosure, including Form 10-K/10-Q.

Responsibilities

• Lead governance processes for the Board and committees; prepare agendas, materials, resolutions, minutes, and annual meeting documentation.
• Manage SEC reporting and disclosure, including 10-K, 10-Q, 8-K, S-8, proxy statements.
• Support insider trading compliance and Section 16 reporting; monitor SEC developments and Nasdaq requirements.
• Partner with Finance, Investor Relations, and Treasury on earnings releases and investor communications.
• Oversee global subsidiary governance, entity formation, maintenance, restructuring, and dissolution.
