Qualifications

• JD from an accredited law school.
• Active bar license in at least one U.S. jurisdiction.
• 12+ years of corporate legal experience in a sophisticated setting.
• Extensive SEC reporting and disclosure experience (e.g., 10-K/10-Q).
• Experience with governance, Board matters, and subsidiary governance.

Responsibilities

• Lead SEC reporting and disclosure for a public company.
• Advise on corporate governance, Board matters, and subsidiary governance.
• Prepare and review proxy statements, 10-K/10-Q filings.
• Coordinate internal processes for SEC filings and disclosure controls.
• Support strategic corporate initiatives and financing activities.
• Manage external counsel and budgets as needed.
• Collaborate with Finance, Investor Relations, Tax, HR, and Legal.
