Beacon Hill Staffing Group, LLC is seeking an experienced Corporate Governance & Securities Counsel, Director to support its client, a global medical device company, in a remote, US-based role.

The role covers SEC reporting and disclosure, board matters, subsidiary governance, and strategic corporate initiatives. You will collaborate with Legal, Finance, Investor Relations, Treasury, Tax, HR, and Executive Compensation.

Qualifications

• JD from an accredited law school.
• Active bar license in good standing in at least one U.S. jurisdiction.
• 12+ years of corporate legal experience within a sophisticated law firm and/or publicly traded company legal department.
• Significant hands-on experience with SEC reporting and disclosure (e.g., drafting forms 10-K/10-Q).
• Knowledge of corporate governance, Board matters, and disclosure compliance.

Responsibilities

• Lead SEC reporting and disclosure for the public company (Forms 10-K, 10-Q, 8-K).
• Advise leadership on corporate governance matters and Board-related issues.
• Support subsidiary governance and governance-related initiatives.
• Coordinate with Finance, Investor Relations, Treasury, Tax, HR, and Legal teams.
• Manage external counsel relationships and budgets on governance matters.
• Assist with financing arrangements and strategic corporate transactions.
