Qualifications

• JD from an accredited law school required.
• Active bar license in good standing in at least one U.S. jurisdiction.
• 12+ years of corporate legal experience in sophisticated settings.
• Significant hands-on SEC reporting and disclosure experience including 10-K/10-Q.
• Strong knowledge of SEC, Nasdaq listing standards, SOX and governance best practices.

Responsibilities

• Lead SEC reporting and disclosure for a public company, including 10-K/10-Q filings and related materials.
• Advise on corporate governance matters, board processes and annual shareholder meetings.
• Coordinate with Finance, Investor Relations and Legal on disclosures and risk factors.
• Support subsidiary governance and corporate structuring, including strategic transactions.
