Beacon Hill Staffing Group, LLC is seeking an experienced Corporate Governance & Securities Counsel, Director for a remote 8-month assignment. The role focuses on complex SEC reporting, governance, and Board matters, supporting cross-functional collaboration with Legal, Finance, IR, Treasury, and HR.

The ideal candidate has 12+ years of corporate experience, must hold a JD and an active U.S. bar license, and will work with senior leadership in a fast-paced environment.

Qualifications

• JD from an accredited law school.
• Active bar license in good standing in at least one U.S. jurisdiction.
• 12+ years of corporate legal experience in sophisticated settings.
• Significant SEC reporting and disclosure experience (10-K/10-Q).
• Experience with corporate governance, Board matters, and disclosure controls.
• Ability to manage complex matters with senior executives cross-functionally.

Responsibilities

• Lead governance processes for the Board and committees, including agendas, minutes and annual meeting materials.
• Drive SEC reporting and disclosure, including drafts of 10-K/10-Q and related filings.
• Support insider trading compliance and 16 Section reporting; monitor SEC developments.
• Oversee subsidiary governance and governance framework across entities.
• Partner with Finance, Investor Relations, Tax and HR on disclosures and strategic initiatives.
• Advise on governance considerations for organizational changes and major transactions.
• Lead modernization of governance and reporting processes using technology.
