The ideal candidate will bring 12+ years of corporate legal experience with public companies, strong independence, and ability to manage sophisticated matters in a fast-paced environment.

Qualifications

• JD from an accredited law school.
• Active bar license in good standing in at least one U.S. jurisdiction.
• 12+ years of corporate legal experience in a sophisticated law firm or public company.
• Significant hands-on SEC reporting and disclosure experience (10-K/10-Q).
• Strong governance, board matters, and subsidiary governance knowledge.
• Experience advising senior executives and cross-functional teams on governance and compliance.

Responsibilities

• Lead SEC reporting and disclosure efforts, including 10-K, 10-Q, and related filings.
• Manage governance processes supporting the Board and committees.
• Provide guidance on corporate governance best practices and stock program governance.
• Oversee subsidiary governance and strategic corporate initiatives.
• Collaborate with Finance, Investor Relations, Tax, HR, and Legal leadership.
