A leading corporation in Singapore is seeking a dedicated legal professional to provide commercial-focused legal advice and support. The role involves assisting in corporate governance, contract management, and conducting legal research. Candidates should have a Bachelor’s degree in law, 2–4 years of post-qualification experience, and proficiency in Chinese for effective communication. Responsibilities:
Provide commercial-focused legal advice and support on broad range of regulatory, contentious and corporate matters.
Conduct legal research on corporate, regulatory and compliance matters across relevant jurisdictions.
Assist in corporate governance matters, including preparation of board materials, resolutions and statutory filings.
Draft, review and negotiate commercial contracts and documents, including but not limited to NDAs, commercial agreements, consulting agreements, service agreements, banking and finance documents.
Liaise with internal stakeholders (business, finance, HR, operations in HQ and subsidiaries) to provide legal support.
Provide advice and guidance to mitigate legal risks, ensure compliance with regulations, monitor and enforce global and regional corporate polices.
Assist in managing external counsel, including document coordination and matter tracking.
Provide support to the Company Secretary on company secretarial, governance and other matters related to compliance with SGX listing rules and relevant laws and regulations.
Support dispute management, including claims, complaints and pre-litigation matters.
Maintain contract management systems and legal records.
Perform other assignments or tasks as instructed by the Group Head of Legal or Senior Management.
Requirements:
Bachelor’s degree in law (LLB) or equivalent; admitted or eligible for admission to the Bar in a relevant jurisdiction.
2–4 years of post-qualification experience, preferably in an in-house or corporate law firm environment.
Strong foundation in contract law and commercial transactions.
Exposure to or experience in banking and finance transactions, including loans, security, or financing documentation.
Proficiency in written and spoken Chinese to liaise effectively with Chinese-speaking stakeholders and review Chinese legal documents.
Strong attention to detail and ability to manage multiple priorities.
Proactive, resourceful, and eager to learn in a fast-paced environment.
