A leading corporate law firm in Singapore seeks to hire a Corporate Secretarial Services Assistant. This role involves providing a full spectrum of corporate services, drafting resolutions, ensuring compliance with statutory requirements, and maintaining statutory records. Candidates with or without experience are encouraged to apply, and being bilingual in English and Mandarin is essential. Assist in providing full spectrum of corporate secretarial services to the firm’s clients, which includes public listed companies, public and private limited companies;
Assist with incorporation of companies, registration of foreign entities, representative offices, limited liability partnerships, striking off companies, etc;
Draft directors/shareholders’ resolutions, minutes of shareholders’ meetings (annual general meetings and extraordinary general meetings), and any other ancillary documents;
Attend meetings of public listed companies/private companies and draft minutes of meetings;
Ensure compliance with relevant statutory and regulatory requirements;
Releasing announcements to SGX;
Ensure proper and timely filing of statutory forms/returns to ACRA and e-stamping of transfer forms with IRAS;
Assist in application of work passes with the Ministry of Manpower;
Assist in arranging for notarisation, legalisation and authentication of documents with various Embassies;
Maintain and update company statutory records / statutory registers; and
Any other work as may be assigned from time to time.
Holder of SAICSA certification or currently pursuing SAICSA course (All ages are welcome to apply). Those who do not hold relevant qualifications are most welcome to apply.
Relevant corporate secretarial experience in law firms, corporate secretarial firms or public listed companies (preferred but not compulsory). Candidates with no experience are welcome to apply.
Experience in handling companies listed with the SGX, advise on Listing Manual, Catalist Rules of SGX-ST, release of SGX announcements, etc (preferred but not compulsory).
Experience in taking minutes of meetings for Board of Directors' and Shareholders' meetings (preferred but not compulsory).
Effectively bilingual in English and Mandarin. (in order to handle queries from English and Mandarin speaking counterparts in regards with the corporate secretarial matters and also to schedule appointments for English and Mandarin speaking clients.)
A detail-oriented person, motivated by multiple tasks and able to meet deadlines.
A team player with good interpersonal and writing skills.
