Job Summary
As a Corporate Secretarial Executive, you will play a key role in managing corporate compliance and regulatory matters for a portfolio of clients. This role involves managing and maintaining statutory records, preparing board meeting minutes, coordinating shareholder communications, and ensuring the company's compliance with corporate laws and regulations. This role requires strong knowledge and understanding of the Singapore Companies Act, Immigration Act and related regulatory policies, excellent communication skills and ability to manage multiple clients’ portfolio effectively.
Job Description
- Independently manage all corporate secretarial matters for a portfolio of clients in a timely manner.
- Assist with incorporation of new companies, business registration of branches and other entities, striking off companies and other corporate secretarial related matters.
- Prepare and file share-related documents (eg., share transfer, allotment of shares, capital changes).
- Responsible for preparing directors/shareholders’ resolutions, minutes of meetings and file with Accounting and Corporate Regulatory Authority (ACRA), Inland Revenue Authority of Singapore (IRAS), Ministry of Manpower (MOM) and other statutory bodies as required.
- Attend board meetings and general meetings and prepare accurate minutes of meeting.
- Update and maintain minute books, statutory registers and corporate secretarial database for clients.
- Assist in application of work passes with the MOM.
- Support Know-Your-Client (KYC) onboarding procedures and ongoing regulatory compliance monitoring.
- Ensure adherence to Anti-Money Laundering, Countering Proliferation Financing and Countering the Financing of Terrorism (AML/CPF/CFT) controls, procedures and best practices.
- Attend to auditors’ queries on behalf of clients and liaise with them in preparation for statutory audits.
- Maintain good rapport with clients, clients’ advisers, intermediaries and internal teams.
- Streamline all workflow processes within your responsibility areas to ensure prompt and professional service.
- Perform other secretarial duties and administrative duties as assigned to support department operations.
Requirements
- Preferably CSIS/ICSA (F.K.A. SAICSA) graduate or Diploma/Degree in Business Administration/Law or pursuing relevant professional qualification.
- Minimum (2) years of working experience in corporate secretarial work in Singapore.
- Strong understanding of the Singapore Companies Act 1967, Corporate Service Providers Act 2024 and related regulatory policies, such as the Guidelines for Registered Corporate Service Providers, Registers of Registrable Controllers and other guidance issued for companies, foreign companies and limited liability partnerships.
- Familiar with ACRA Bizfile and IRAS stamp duty portal.
- Computer literate and proficient in MS office application.
- Effectively bilingual in English and Mandarin to liaise with Mandarin speaking clients.
- Meticulous, responsible, proactive and capable of managing multiple task and assignments.
- Good organizational skills and time management.
- Eager to learn and highly interested in developing an in depth understanding in corporate secretarial works.
- Positive attitude toward guidance and training.
- Strong client interaction, management and servicing skills.
