Job summary

Maaden is seeking a Transaction PMO Lead to drive JV formation governance, manage the integrated schedule, data room, and decisive logs. The role coordinates diverse workstreams including corporate BD, Legal, Finance, and external advisors to ensure timely milestones and governance approvals.

Successful candidates will have 10+ years in transaction PMO or related fields, strong schedule discipline, and experience with stage-gate processes and executive reporting.

ROLE PURPOSE

Own the day to day mechanics and control environment of the joint venture formation process, including the integrated schedule, data room, issue register, decision register, governance calendar and stage-gate evidence. The role enables the Transaction Led to focus on principal-level negotiation and decisions by ensuring that every workstream, advisor, internal stakeholder and partner action progresses in a coordinated, disciplined and accelerated manner.

The Transaction PMO Lead serves as the single source of truth for transaction status and is expected to identify bottlenecks early, recommend practical schedule-compression measures, and maintain visibility of dependencies between the HoA, due diligence, business case, definitive agreements, regulatory approvals, financing and Project interfaces.

• The role supports an accelerated, multi-workstream industrial JV process involving Business Development, Corporate BD, Legal, Finance, Technical, Operations, Procurement, Risk, Project teams, external advisors and potential partners.
• The appointment begins before Day 0 so that governance, schedules, templates, repositories, baselines and reporting disciplines are fully operational before the HoA sprint starts.
• The role remains active through FID to preserve continuity from early partner commitment, through due diligence and negotiations, into governance approval and execution handover.
• The role does not replace workstream accountability. Each workstream lead remains accountable for the quality and approval of functional deliverables.

KEY ACCOUNTABILITIES

• Integrated Planning and Critical Path: Build, baseline and maintain the integrated master schedule across partner selection, HoA, due diligence, technical development, commercial modelling, legal documentation, approvals, financing and Project interfaces.
• Schedule Acceleration: Identify activities that can be safely undertaken in parallel, shorten review cycles, recommend decision windows, sequence workshops efficiently and develop recovery actions where milestones are threatened.
• Governance Management: Establish the governance calendar, meeting cadence, submission timetable, approval map and stage-gate readiness process for working teams, Steering Committee, Investment Committee, ExCom and Board as applicable.
• Oversee Data Room and Document Control
• Issue and Decision Management: Maintain the master issue list, decision log, assumption register, dependency register, action tracker and escalation list; ensure each item has a clear owner, deadline, required evidence and closure record.
• Stage-Gate Assurance: Define milestone evidence requirements, track deliverable maturity against gate criteria and provide an objective readiness assessment before each governance submission.
• Meeting and Sprint Management: Run daily stand-ups during the HoA sprint and an appropriate weekly or twice-weekly cadence thereafter; issue agendas, pre-reads, decisions, actions and escalation items promptly.
• Executive Reporting: Prepare concise, fact-based Steering Committee, Investment Committee and Board materials, including progress, critical path, decisions required, key risks, unresolved issues and schedule outlook.
• Workstream Integration: Coordinate Business Development, Corporate BD, Legal, Finance, Technical, Operations, Procurement, Risk, Projects and external advisors around one integrated workplan and consistent assumptions.
• Partner Coordination: Maintain the joint action register and partner deliverables schedule, track information requests and responses, and ensure that partner commitments are recorded without creating unauthorized obligations.
• Risk and Change Control: Coordinate the transaction risk register and change-control process; identify schedule, scope, cost, approval and interface impacts before changes are accepted.
• Execution Handover: Prepare a complete handover package at FID covering agreements, approvals, obligations, assumptions, conditions, open items, reporting requirements and value-realization commitments.

MINIMUM QUALIFICATIONS AND EXPERIENCE

• Bachelor's degree in Business, Finance, Project Management or a related discipline. A relevant master's degree is preferred.
• Typically, 10+ years of experience in transaction PMO, M&A integration, corporate development, major capital-project controls or complex program management.
• Demonstrated experience operating a due-diligence data room and coordinating multi-workstream negotiations or transaction processes.
• Practical exposure to JVs, M&A, strategic partnerships, project finance or greenfield industrial developments.
• Experience preparing executive, Investment Committee or Board-level materials and maintaining formal decision records.
• Demonstrated ability to build and manage integrated schedules, critical paths, risks, issues, actions, dependencies and governance milestones.

PREFERRED EXPERIENCE

• Big Four transaction-services, corporate-finance, deals or strategy-execution background.
• Major EPC/EPCM, mining, metals, aluminum, energy, infrastructure or industrial-project program-management experience.
• Experience supporting HoA, term-sheet, FA, JDA, JVA, offtake, financing or other definitive-agreement workstreams.
• Experience in Saudi Arabia and familiarity with the governance expectations of large industrial organizations
