About the Role

The General Counsel will lead our corporate Legal department and is responsible for all Legal affairs of our global organisation. This includes our governance, risk and compliance teams. This role will be responsible for providing Legal counsel to the CEO, the executive leadership team, the board and other senior management.

This role is a critical part of the senior leadership team and will be responsible for building and expanding the legal department, creating scalable frameworks, and embedding a strong culture of compliance and risk management. The successful candidate will ensure the organisation is positioned to achieve its strategic goals while effectively managing legal and regulatory risk.

Main Responsibilities
  • Lead and evolve the company’s global legal and compliance strategy to ensure adherence to all relevant laws, regulations, and industry standards.
  • Act as principal legal advisor to the CEO, executive team, and Board, providing proactive and strategic counsel on business-critical matters.
  • Oversee corporate governance, risk management, and compliance frameworks across all jurisdictions.
  • Monitor legal and regulatory developments, advising on potential impacts and opportunities for the business.
  • Conduct legal due diligence on potential business transactions, acquisitions and partnerships.
  • Advise on risk allocation and mitigation strategies in commercial agreements.
  • Collaborate with various internal departments, including finance, operations, and compliance to ensure alignment and adequate legal support.
  • Establish relationships with external stakeholders, including regulatory bodies, government authorities and investors.
  • Oversee the delivery of legal services and resources to accomplish corporate goals, strategies and priorities across all regions.
  • Review, draft, and negotiate commercial contracts, including framework agreements, leasing and transactional documents.
  • Provide legal guidance and support in the negotiation and execution of contracts with suppliers, partners and customers.
  • Ensure that contracts align with the company’s commercial objectives.
  • Manage a team of senior legal directs and other members of the legal department.
  • Communicate and interact with officials at all levels of government.
  • Lead the development of Legal ‘Target Operating Model.’
  • Advise on legal agreements in relation to debt & equity finance.
  • Advise on legal considerations and costs of going into new markets.
Qualifications and experience
  • Qualified Lawyer with a minimum of 10+ years of PQE experience.
  • Industry experience, both large company and private equity backed experience.
  • Experience within Real estate, Construction or Data centres is desirable.
  • Experience reporting into CFO/CEO and supporting executive leadership.
  • Expert on complex commercial agreements. Specifically Leasing of sites/centres and debt & equity Finance agreements. Experience reviewing a variety of supply side contracts.
  • Extensive experience in drafting and negotiating commercial agreements.
  • Experience working and entering new markets within EMEA, U.S. & APAC and considering the legal issues of entering a new market.
  • Must have experience working with a variety of external Counsel of specialist projects and new markets.
  • Experience managing and developing a small legal team and working cross functionally on areas such as Procurement, Deals & Leasing.
  • Experience in a high scale business whereby Departments require education on Legal matters and where Legal should be involved.
  • Highly motivated self-starter who is a leader and has the ability to develop the Legal function with minimal guidance.
  • Strong interpersonal and presentation skills with the ability to communicate effectively with others of all levels of the business.
  • Strong negotiating skills with both legal and commercial issues.
  • Good organisational, time management and workload management skills.
  • Ability to establish and maintain strong relationships with various departments and across all Business Units.
  • Strong knowledge of legal and regulatory requirements in the real estate sector.
