JOB TITLE

Senior Solicitor (4+ years PQE) - Corporate and Commercial / Corporate

Based in Edinburgh (flexibility available)

Partners Will McIntosh and David Lightbody

JOB PURPOSE

A senior solicitor role has emerged to work within our Corporate team on a wide range of corporate and commercial matters. The work is always interesting, seldom straightforward and you will need to be able to understand the commercial reasons behind the legal work you will be doing. You will work closely with existing clients and also be part of the continuing efforts of the team to win new clients and business.

M&A, private equity and corporate work: As part of the team, you will be involved in providing ongoing corporate and commercial advice to a wide range of listed and unlisted companies, as well as private equity funds. In addition to M&A and general corporate work, you can expect to be involved in advising clients on a wide range of complex and high-value matters including governance, property-based investment work, joint ventures and corporate reorganisations.
Our experienced team is heavily involved in private equity transactions including buyout funds, MBOs and MBIs, acting for equity providers, management teams and targets.

Cross-border work: Most of the M&A and private equity transactions involve a multi-jurisdictional aspect, entailing strong project-management skills and exercise of commercial judgment.

Coordinating our internal specialist teams: You will be able to draw on the expertise of specialists from across our firm where necessary. Our Corporate team works in close collaboration with our tax, IP, real estate, employment, banking and personal and family teams to deliver a complete service to our clients, who are active in almost every sector of the Scottish and wider UK economy.

Building client loyalty; BD: You will work closely with the partners within the Corporate teams and play a key role in the growth of the business by building and maintaining effective client relationships and having an active focus on business development.

CORE TASKS

Our transactions vary and work assignments will depend upon the specific instructions we have at any one time. With the appropriate level of supervision and guidance you can expect to be involved in the following: M&A transactions and private equity transactions - both domestic and international

  • A wide range of other corporate transactions including joint ventures, investments, reorganisations, shareholder/investment agreements
  • Corporate governance issues such as director's conflict of interest, board composition, trading issues and shareholder relations
  • Providing corporate support to other teams within the firm
  • Drafting of the primary legal documents (e.g. SPA, SHA), as well as legal research and papers for client advice and/or wider publication
  • Assisting clients to meet their overall business objectives
  • Being part of the corporate team on the larger deals, as well as coordinating input from overseas counsel on multi-jurisdictional deals
  • To have an enquiring mind and think about why something is the case and how best to produce the result the client wants in the way he wants it
  • Be aware of Brodies' information security policies, and protect information assets from unauthorised access, disclosure, modification, destruction or interference at all times
