Role Overview

This opportunity sits within the firm’s Corporate practice and offers a broad, high‑level remit. You will advise business owners, investors and boards across the full lifecycle of corporate transactions and governance matters. The role involves taking the lead on sophisticated deals, managing matters from early scoping through to completion, and acting as a trusted adviser to long‑standing clients. You’ll enjoy significant autonomy, direct exposure to decision‑makers, and a clearly defined pathway to partnership for candidates who demonstrate both technical excellence and commercial acumen.

Key Responsibilities
Corporate Transactional Work
  • Advise on a wide spectrum of corporate matters including:
  • Mergers and acquisitions (share and asset transactions for SME and mid‑market clients)
  • Corporate reorganisations, restructurings, and demergers
  • Shareholder and joint venture arrangements
  • Incorporations, share capital changes and general governance issues
  • Investment and funding rounds, including venture capital and private equity deals
Equity Incentives & Share Schemes
  • Provide advice on UK employee share schemes (EMI, ESOP and unapproved arrangements).
  • Draft, implement and manage equity incentive structures, ensuring full statutory compliance.
Drafting & Negotiation
  • Prepare, negotiate and finalise transactional documents including SPAs, disclosure letters, investment agreements and related documentation.
  • Lead and coordinate due diligence processes and manage all phases of corporate transactions.
Relationship Management & Business Development
  • Build strong, lasting client relationships and deliver clear, commercially focused guidance.
  • Identify opportunities for growth, including internal cross‑referrals and external business development initiatives.
Team Leadership
  • Mentor and supervise junior lawyers and trainees.
  • Work closely with partners to expand the Corporate team and contribute to wider strategic goals.
Key Requirements
  • Qualified Solicitor (England & Wales) with 6+ years’ PQE in Corporate law and ambition for partnership.
  • Demonstrable experience in M&A, governance, restructuring and general corporate advisory work.
  • Strong drafting skills and confident negotiator.
  • Excellent client‑handling ability with a commercial, solutions‑driven mindset.
  • Ability to manage competing deadlines and multiple matters simultaneously.
  • Positive, collaborative approach and enthusiasm to contribute to a growing practice.
  • Experience of cross‑border transactions is advantageous.
