Job description
Overview

Your role is to be a trusted advisor to the business by delivering best‑in‑class transaction support and advice to the relevant businesses on legal and regulatory matters to effectively manage our legal risk. You will be working in our Global Banking ECM and Advisory team based in London. You will play a vital role in supporting the negotiation and documentation of ECM transactions in the relevant business areas. Your day‑to‑day work will also cover UK public M&A as well as private M&A activities around EMEA. The ECM and Advisory Legal team around Europe includes highly experienced lawyers from a range of backgrounds who all trained at different law firms. Our wider Global Banking legal team also covers various other business/product areas such as DCM, Structured Finance, Corporate Lending, and Derivatives. We can offer a highly supportive learning environment for an enthusiastic lawyer looking to continue to develop and expand their skillset in a wide variety of product areas and transaction types.

Responsibilities
  • Partner with Front Office ECM and global banking teams, our wider Global Banking Legal team and external counsel to provide holistic support on ECM transactions across EMEA (with some APAC and/or US touchpoints).
  • Provide coverage of Public ECM (IPOs, Rights Issues, Accelerated Primary Bookbuilds), Secondary Block Trades, and Private Placements.
  • Provide coverage of Private Funds Group (Primary and Real Estate Funds) and Share Buybacks.
  • Provide transactional support and legal/regulatory advice on matters relating to our aforementioned businesses.
  • Collaborate with wider Group Legal and Global Banking Legal teams to educate on new regulatory initiatives and participate in various firm‑wide projects and initiatives to shape internal policies, procedures and guidelines.
  • Monitor relevant legal and regulatory developments for the businesses covered.
Qualifications
  • Fully qualified as a lawyer in England & Wales or another relevant jurisdiction (e.g. New York).
  • Offshore US securities law experience and worked in private practice or as an in‑house lawyer at a major financial institution.
  • Excellent knowledge of ECM documentation, UK listing rules, UK Sponsor Regime, UK Takeover Code, EULA, AIFMD, US Securities Act, US Securities Exchange Act, US Investment Company Act, US Investment Advisers Act, AFME documentation, and public and private ECM processes.
  • Experience working with AIFMD‑compliant and US Investment Company exempt fund managers and investment funds.
  • Familiarity with cross‑border ECM and advisory transactions, ability to work well under pressure, and experience negotiating complex documents including block trade agreements, indemnity letters, IPO underwriting agreements, sponsor agreements, placing agreements, rights issue standby and volume underwriting and share buyback documentation (closed and open periods).
  • Familiarity with and comfort in reviewing and analysing offering documentation; sitting as a forum member on the equity business review group; demonstration of good technical expertise and communication skills.
  • Solid written and verbal skills with the ability to advise and challenge stakeholders, and the willingness to attend meetings as part of internal approval processes and liaise with business teams, support functions and external counsel on all aspects of deal documentation.
